1. Services Offered: 

AUOTAM offers a comprehensive suite of services across four core areas: Consulting & Strategy, Design & Development, Marketing & Advertising, and Branding & Positioning. The specific sub-services offered within each category may evolve, and it is your responsibility to confirm the current offerings with us directly. These categories include, but are not limited to:

• Consulting & Strategy: This includes business strategy consulting, marketing strategy development, digital transformation strategy, market research and analysis, competitive analysis, customer journey mapping, and strategic planning. These services often involve the development of customized plans and recommendations tailored to your specific business needs.

• Design & Development: This encompasses website design and development, mobile app development, user interface (UI) and user experience (UX) design, graphic design, logo design, brand identity design, marketing collateral design (digital and print), and content creation (written, visual, and multimedia). These services may involve the creation of custom deliverables, including designs, code, and content.

• Marketing & Advertising: This covers digital marketing (SEO, SEM, social media marketing, email marketing, content marketing, influencer marketing), traditional advertising (print, broadcast, out-of-home), marketing automation, lead generation, performance marketing, campaign management, and marketing analytics. These services may involve the management of advertising budgets, the creation and distribution of marketing materials, and the tracking and analysis of campaign performance.

• Branding & Positioning: This includes brand strategy development, brand positioning, brand messaging, brand identity creation, brand guidelines development, brand refresh and rebranding, and brand asset management. These services focus on defining and communicating your brand’s unique value proposition and building a strong and recognizable brand presence.

2. User Responsibilities:

• Accuracy of Information: You are responsible for providing accurate, complete, and up-to-date information when requested. Providing false or misleading information may result in the termination of services.
• Lawful Use: You agree to use our services only for lawful purposes and in accordance with these Terms and Conditions, as well as all applicable laws and regulations. You are prohibited from using our services to transmit any harmful, unlawful, or inappropriate content.
• Intellectual Property: You agree not to infringe on any intellectual property rights of AUOTAM or any third party. This includes unauthorized use of copyrighted material, trademarks, or trade secrets.
• Confidentiality: You are responsible for maintaining the confidentiality of any login credentials, passwords, or other sensitive information provided to you. You agree not to share this information with any unauthorized individuals.
• Cooperation: You agree to cooperate with AUOTAM in the performance of the services, including providing timely feedback, approvals, and necessary resources.

3. Payment Terms:

• Pricing: Pricing for services will be outlined in individual agreements, proposals, or invoices. Prices are subject to change at AUOTAM’s discretion.
• Invoicing: Invoices will be issued according to the agreed-upon payment schedule.
• Payment Methods: Payments can be made via direct bank transfer or through PayPal or Wise using credit card, and debit card.
• Late Payments: Late payments may incur interest charges at a rate of 2% per month.
• Taxes: All fees are exclusive of any applicable taxes, which will be added to the invoice.
• Refunds: Refund policies, if applicable, will be specified in individual agreements.

4. Intellectual Property Rights:

• AUOTAM’s Intellectual Property: All content on our website, including text, graphics, logos, and software, is the property of AUOTAM and is protected by copyright and other intellectual property laws. You may not use any content from our website without our prior written consent.
• Client’s Intellectual Property: You retain ownership of any intellectual property you provide to us.
• Deliverables: Ownership and usage rights for deliverables created by AUOTAM will be specified in separate agreements. Typically, ownership of custom-created materials, excluding pre-existing components used in their creation, will transfer to you upon full payment. However, AUOTAM retains the right to showcase such work in its portfolio unless otherwise agreed in writing.

5. Confidentiality:

• Both parties agree to keep confidential any non-public information disclosed during the course of providing or using our services. This includes, but is not limited to, business plans, financial data, customer information, and trade secrets.
• This obligation of confidentiality shall survive the termination of our services.

6. Disclaimer of Warranties:

• AUOTAM provides its services “as is” and without any warranty of any kind, express or implied. We do not warrant that our services will be uninterrupted, error-free, or meet your specific requirements.
• We do not guarantee any specific results from the use of our services, including, but not limited to, increased leads, sales, or brand awareness.

7. Limitation of Liability:

• AUOTAM’s liability to you for any claim arising out of or in connection with these Terms and Conditions or the use of our services shall be limited to the amount you have paid us for the specific service giving rise to the claim.
• We are not liable for any indirect, incidental, consequential, special, or punitive damages arising from the use of our services, even if we have been advised of the possibility of such damages.

8. Termination:

• By AUOTAM: We may terminate these Terms and Conditions or suspend your access to our services at any time, with or without cause, upon written notice to you.
• By You: You may terminate these Terms and Conditions by providing written notice to us 30 days prior to the desired termination date.
• Effect of Termination: Upon termination, you will be responsible for paying any outstanding invoices.

9. Governing Law:

• These Terms and Conditions shall be governed by and construed in accordance with the laws of India.

10. Dispute Resolution:

• Any disputes arising out of or in connection with these Terms and Conditions shall be resolved through through binding arbitration in accordance with the rules of Greater Noida, India.

11. Changes to Terms and Conditions:

• AUOTAM reserves the right to modify these Terms and Conditions at any time. We will post the updated Terms and Conditions on our website, and it is your responsibility to review them periodically. Your continued use of our services following the posting of updated Terms and Conditions constitutes acceptance of those changes.

12. Entire Agreement:

• These Terms and Conditions constitute the entire agreement between you and AUOTAM regarding the services offered and supersede any prior agreements or understandings, whether written or oral.
